These are the terms and conditions applicable to our website and store.

The Service consists of providing access to the Online Shop via www.loja.merece.pt which, in addition to providing information on a range of products and/or services, allows the User to electronically order the products advertised therein, under the terms and conditions described herein.

Product orders must be placed by Users aged 18 (eighteen) or over (individuals under this age must have the authorization of their legal representatives). The elements and information transmitted by the User shall enjoy full legal effect, with the User acknowledging electronic purchases, and the User may not allege the lack of a signature for failure to comply with the obligations assumed.

Browsing the website, as well as purchasing any product from the online store, implies acceptance of these General Conditions by the User. If you do not agree with them, you must leave the website and, in particular, you must not make any purchase from Loja Merece.

Therefore, before each use, you should consult the Terms and Conditions in force. The Terms and Conditions published at the time of purchase apply to each purchase.

Loja Merece reserves the right to change these General Conditions without prior notice, and any changes will be published on the website http://www.loja.merece.pt.

2. Company information

Loja Merece is associated with the Business Movement for the Recycling of Cards with Electronic Components. This is a movement promoted and managed by CONTISYSTEMS - Tecnologias de Informação, S.A. a public limited company, registered at the Lisbon Commercial Registry Office under the single registration and legal person number 504227114 and with its head office at Estrada Nacional, 249-4km 7.2, Abóboda, 2785-754 São Domingos de Rana, Portugal (hereinafter "CONTISYSTEMS").

Loja Merece is the exclusive property and responsibility of CONTISYSTEMS.

3. Using the website and store

Liability: The offer in our store is aimed only at people of legal age and full capacity. By placing an order, the User declares that he/she is over 18 years of age and has full legal capacity for the acts he/she performs, as well as the necessary powers to carry out this acceptance (in his/her personal name and/or that of the organization he/she represents, if applicable).

Commitment to lawfulness: By accepting these Terms and Conditions, the User expressly declares that he/she will not use the website and the functionalities and services associated with its use, for any illegal and/or illicit purposes.

Security: Loja Merece guarantees the security of the account within the expected security measures appropriate to platforms such as the website and its online store.

Cybersecurity: Loja Merece is not responsible for damages arising from interference, interruptions, computer viruses, malfunctions or disconnections of the operating system that may temporarily prevent access, navigation or the provision of services to Users.

Breach of terms and conditions: Violation of the provisions of these Terms and Conditions by the User shall constitute grounds for termination by Loja Merece of any transactions carried out in the meantime.

Registration: Access to the website is not subject to registration. However, in order to purchase products, the User must register as a customer by filling in the form available in the purchase process.

User Responsibility: The User is responsible for the veracity, completeness and lawfulness of the data provided, both at the time of registration and for the purposes of making purchases in the online store, as well as for updating it.

The User therefore undertakes to:

If any of the data is incorrect, or insufficient, and for this reason there is a delay or impossibility in processing the order, or possible non-delivery, the responsibility lies with the User, and Loja Merece is exempt from any liability. In the event that the consumer violates any of these obligations, Loja Merece reserves the right to eliminate future purchases, block access to the store, cancel the supply of any other services made available simultaneously by Loja Merece to the same User; and also not allow future access by the User to any or all services made available by Loja Merece.

Prohibition of resale: It is expressly forbidden to use the products and services purchased for commercial purposes, namely for the purpose of reselling goods.

Confidentiality: Loja Merece has no access to or knowledge of the password set by the User when registering. It is therefore up to the User to ensure the confidentiality and security of their password (in particular, by changing their password regularly and avoiding connections via networks open to the public).

4. Products and orders

Descriptions and images: The aim of Loja Merece is to provide information about products, however, we cannot guarantee that descriptions are complete, current or error-free. Whenever an error is identified, Loja Merece will correct it as soon as possible. For this reason, Loja Merece does not guarantee that the quality of any product, service, information or any other material purchased or obtained through the Service fulfills any expectation of the User in relation to it.

Changes: At any time Loja Merece may edit or delete any information without prior notice, namely those relating to products, prices, promotions, offers, commercial conditions and services.

Acceptance of conditions: The User hereby expressly accepts the following:

Orders: By placing an order, you agree to provide accurate and complete information. We reserve the right to refuse or cancel orders at our sole discretion.

5. Prices and Payment

Prices: The price of each of the products sold in the Merece Shop is that indicated on the website, presented in euros and including VAT applicable at the legal rate in force.

Shipping costs: The price of each product sold by Loja Merece and indicated on the website does not include shipping costs, which vary depending on the product and the desired delivery method. The shipping costs will be presented to the User prior to Order Confirmation.

Error in priceinformation: Although Loja Merece works to ensure that all prices on the website are correct, errors may occur. If Loja Merece detects an error in the price of one or more products that you have ordered, it will inform you as soon as possible and give you the option of reconfirming the order at the correct price or canceling it. If Loja Merece is unable to contact the User, the order will be canceled and the amount already paid will be refunded to the User in full using the same payment method.

Price updates: The price of the products is subject to change by Loja Merece, without prior notice, up to the time of Order Confirmation by the User.

Payment Methods: The following payment methods are accepted via Easypay - Instituição de Pagamento Lda:

Payment will be processed once the order has been confirmed.

6. Buying process

Availability: The products on sale are subject to existing stock and Loja Merece is not obliged to sell any product that is not available.

Personal data: In order to complete the order, the User must enter the personal data requested. The data will only be requested when making the first purchase through the website, and will be kept for the purpose of future purchases, should the customer so request.

Delivery and billing data: The User must also provide the desired delivery and billing data. They must also select the respective delivery method.

Final price: When confirming the order, the User will be informed of the final price to be paid, including the cost of postage and the products ordered.

Payment method: The User must then choose the payment method, with the options mentioned in point 5 available.

Data verification: Before confirming the order by clicking on "Pay now", the User undertakes to verify the data contained in their order summary, confirming the User data, the products selected in the shopping cart, the respective delivery method and address, as well as the payment method, and must go back to the previous steps in order to rectify them if they detect any nonconformity.

Acceptance of Terms and Conditions: Before finalizing the order by clicking on "Pay now", the User must read the "Terms and Conditions", inserting the agreement symbol in the available box, just in case they accept them. Acceptance of the "Terms and Conditions" is an absolute requirement for the transaction to proceed.

Order Confirmation: By confirming the order, the User enters into a purchase and sale contract with Loja Merece, expressing their acceptance of the description of the products included in the transaction, the respective prices and these Terms and Conditions, which contain the only provisions applicable between the User and Loja Merece.

Confirmation email: After Order Confirmation, the User will receive an email confirming that their order has been received by Loja Merece (Order Confirmation email). This email contains a summary of the order placed, including the products, the total price, the delivery option and address chosen and shipping costs, as well as the payment method selected by the User and its deadline (if they have not chosen an automatic payment method, such as MBway or Credit Card). If any of the information is incorrect, the User must immediately ask the Merece Store to change it, using the Customer Support contacts provided.

Issue of invoice: Once the total price of the products has been paid, the invoice will be issued and sent to the email address provided by the User. Once issued, the invoice cannot be reissued with changes.

Stock availability: If the products ordered are not available in stock, Loja Merece will inform the User immediately upon learning of this unavailability. If it proves impossible to deliver the products within the agreed timeframe, Loja Merece will contact the User in an attempt to agree a new delivery timeframe, and the order will only proceed after the User has given their consent (via email). If any of the products in stock are unavailable, Loja Merece may offer the User the supply of a product of equivalent quality and price, if available, and, in this case too, the order will only proceed after consent has been given by the User (via email).

Cancellation: If none of the situations set out in the previous point is accepted by the User, the order will be canceled for the missing products, and Loja Merece will reimburse the amounts paid by the User, within a maximum period of 14 (fourteen) days following the communication of the cancellation.

7. Shipping and delivery

Shipping: As soon as full payment of the order is confirmed, if the products purchased are available, Loja Merece will ship them to the address indicated by the User as the delivery address.

Delivery areas: Currently, Loja Merece only delivers to Portugal (Mainland and Islands via pick up points), Spain, Andorra and France, so only delivery addresses within these geographical areas will be accepted.

Delivery time: Notwithstanding the deadlines set out in the Order Confirmation and the right of withdrawal, delays may occur for any of the following reasons, which are not attributable to Loja Merece, and which will therefore not entitle the User to any compensation:

Time of delivery: In the case of delivery to an address (outside Portugal), the User must ensure that someone is present at the address where the products are to be delivered, on the date indicated by Loja Merece.

Liability: Loja Merece disclaims any liability for any delay or impossibility of delivery of the order resulting from acts for which it is not responsible.

Deadline: The deadline for delivery of the products ordered is 30 (thirty)days, from the day following confirmation of payment of the total price of the products.

Order delivered: For the purposes of these Terms and Conditions, a "delivery" is deemed to have been made or a product is deemed to have been "delivered" with the signing of the delivery receipt at the agreed address.

Exchanges: Without prejudice to the exercise of the right of withdrawal, Loja Merece does not make exchanges.

6. Right of withdrawal and refund

Refunds: Refunds will be processed after inspection of the returned products.

Scope: The following points apply exclusively to sales to final consumers, as defined in Law no. 24/96, of July 31, as amended.

Return period: The User has the right to freely withdraw from this contract within 14 (fourteen) calendar days, without having to give any reason. The period for exercising the right of withdrawal expires within 14 (fourteen) calendar days:

Total or partial: The right of withdrawal may be exercised by the User for all the products purchased or only for some of the products included in an order.

Return Procedure: To make a return, the User must send an email to the Loja Merece email address: loja@merece.pt, clearly stating the intention to return and with the following information:

Loja Merece will reply to the User, acknowledging receipt of the withdrawal request, within 24 (twenty-four) hours.

Return of the products delivered: When the products have already been delivered to the User, the User must, within 14 (fourteen) days from the date on which he has communicated his decision to terminate the contract to Loja Merece, return or deliver the products to Loja Merece, and it is the User's responsibility to bear the costs arising from the return of the products.

Condition of the products: For the return to be accepted, the products must be returned in the correct condition, in their original packaging and always accompanied by the original invoice. The contractual right to return products applies exclusively to products that can be returned in the same condition in which the User received them. Loja Merece may refuse to reimburse any product that has been damaged or shows signs of use beyond simply opening its outer packaging, namely because the respective labels have been removed/cut or any security seals have been violated.

Termination prior to delivery: In the event of termination of this contract, before the order has been received by the User, all payments made by the User will be refunded, including any costs incurred in the delivery of the products (unless the User has requested a more expensive delivery method than the one commonly accepted).

Refund withheld: Loja Merece reserves the right to withhold reimbursement of the amounts paid by the User until the products have been returned to them.

Refund: Ref unds will be made within 14 (fourteen) days using the same means of payment used in the initial transaction, unless expressly agreed otherwise by the User.

7. Intellectual property

Ownership of rights: CONTISYSTEMS is the owner of all the intellectual property rights on the Merece website and its store. The contents made available through the website, namely texts, images, brands, logos, source codes, are protected by intellectual property legislation, namely by copyright and industrial property rights, and are owned or licensed by CONTISYSTEMS, its suppliers or licensors and may not be copied, imitated or used, in whole or in part, without the prior written authorization of CONTISYSTEMS or the holder of the applicable intellectual property right.

User Commitment: The User acknowledges that any content appearing in the advertising, highlighting, promotion or mention of any sponsor or advertiser is protected by the laws relating to copyright and related rights, the laws relating to industrial property and other property protection laws, so any use of such content may only occur under the express authorization of the respective owners.

The User undertakes not to make any abusive use of said content, which may not be copied, disseminated or used in any way, and not to use software tools to collect protected content, namely robots, crawlers or other automatic mechanisms.

Compensation: The User undertakes to reimburse CONTISYSTEMS in full for any indemnities, costs or expenses it incurs as a result of claims of any kind or nature directed against it by third parties, based on the violation of third party rights, namely intellectual property rights related to the use of content made available, provided or made available through the website and the services associated with it, including for indemnities paid to third parties by agreement with them.

8. Privacy and Data Protection

Confidentiality: CONTISYSTEMS, as the company responsible for processing the data collected within the Merece Store, respects your privacy. Any and all personal data collected on the website will be kept confidential and will not be sold, communicated or, in any way, reused by third parties without your authorization. Any personal data provided to us will be processed in accordance with the relevant legislation, best practices and ensuring all technical and organizational security measures to protect it.

The personal data identified on the order form as having to be provided is essential for Loja Merece to provide the Service. The omission or inaccuracy of the data provided by the User is the User's sole and entire responsibility and may result in the refusal to provide the Loja Merece Service.

The User's personal data will be processed and stored in computerized form and is intended to be used by Loja Merece within the scope of the contractual and/or commercial relationship with the User and, in the event of the User's consent, to send promotional communications of interest to the User. For the purposes of delivering the products ordered, the data collected on the website may be shared with third parties of recognized repute who ensure that it is treated confidentially.

In the event that you give us your consent when you create your online account, we will also process your personal data for the purpose of sending you generic or personalized information and direct marketing communications, the latter of which may be based on your purchase history and customer profile, via e-mail and/or SMS.

If you don't have a Merece store account but would like to receive our newsletters by e-mail, you can subscribe to them by giving us your consent.

Under the terms of the current legislation on the protection of personal data, the User is guaranteed, at no additional cost, the right to access, rectify, erase their personal data, oppose the use of their data, limit the processing and portability of their data, for the purposes set out in the previous paragraph, and should send their request to loja@merece.pt.

9. Liability and guarantee

Limitation of Liability: We shall not be liable for indirect, incidental or consequential damages arising from the use of products purchased from Loja Merece. To the maximum extent permitted by law, Loja Merece will only be liable for damages caused by gross negligence or willful misconduct.

Warranty: Loja Merece is liable for any lack of conformity of the products that exists when they are delivered to the User. The products do not comply with the purchase contract when any of the following occurs:

Specific warranty period: Under the terms of Consumer Law, the general warranty period for products is 3 (three) years for new products, from the date of delivery of the products to the User, provided that the product defect is reported to Loja Merece within a maximum of 2 (two) months from the date on which it was detected. If the defect becomes apparent more than two (2) months after delivery of the products, the User must prove that the defect or lack of conformity already existed when the products were delivered.

Warranty period Companies: In sales to professionals, Loja Merece is also liable for any defects in the products that exist when they are delivered to the User, the warranty period being 6 (six) months from the date of delivery of the products to the User.

Warranty exclusions: Products shall not be deemed to be non-conforming or defective, within the meaning of the applicable law, if, when the contract is concluded, the User is aware of such non-conformity or defects or cannot reasonably be unaware of them. The occurrence of vices or defects for which Loja Merece is not responsible shall also not be considered to be a lack of conformity or defects in the products for which Loja Merece is responsible, namely when they arise from the following situations:

Procedure in the event of a defect: If the Product purchased does not conform or is defective, the User must report the situation to Loja Merece by submitting the respective invoice and a description of the non-conformity. Loja Merece reserves the right to have the products delivered to it for evaluation. Once the reported non-conformity has been verified, and if any lack of conformity for which Loja Merece is responsible is proven, the User will have the option of choosing between one of the following options:

The costs of returning or collecting products under warranty will be borne by Loja Merece whenever it is concluded that the non-conformity in question falls within the warranty period.

10. User obligations

Comply with the law: The User undertakes to comply with all applicable legal provisions, in particular, not to practice or encourage the practice of unlawful acts or acts offensive to good customs, such as the indiscriminate sending of unsolicited communications (spamming) in violation of the provisions of the legislation applicable to the processing of personal data and advertising communications through automatic calling devices, and must also comply with the rules for using the Service, under penalty of Loja Merece suspending or deactivating the Service under the terms of point 11.

Unavailability: The User expressly acknowledges and accepts that the IP Network constitutes a public electronic communications network susceptible to use by several Users, and as such, subject to computer overloads, so Loja Merece does not guarantee the provision of the Service without interruptions, loss of information or delays.

Force majeure: Loja Merece also does not guarantee the provision of the Service in situations of unforeseeable overload of the systems on which it is based or of force majeure (situations of an extraordinary or unforeseeable nature, external to Loja Merece and which cannot be controlled by it).

Regularization: In the event of an interruption in the provision of the Service for reasons of unforeseeable overload of the systems on which it is based, Loja Merece undertakes to regularize its operation as soon as possible.

11. Technical configurations

Advance notice of changes: Without prejudice to the provisions of the following point, Loja Merece may change the Service and/or the technical conditions under which it is provided, as well as the respective rules of use, and must disclose such changes to the User at least 15 (fifteen) days in advance.

Change of settings: Whenever Loja Merece deems it necessary or convenient to optimize the browsing experience and/or improve connectivity conditions, it may remotely reformulate the network settings.

Without prejudice to the provisions of the following points, and given the innovative nature of the Service and the technological developments to which it may be subject, Loja Merece may change the technical configurations of the Service whenever this proves convenient in order to adapt it to any technological developments.

Upgrades: Loja Merece does not guarantee the User any upgrades or improvements to the Service.

Some upgrades or new features of the Service may only be available against payment by the User and/or subscription by the User to Specific Conditions of Use.

13. Laws and Jurisdiction

Jurisdiction: These terms and conditions are governed by the laws of Portugal. Any dispute not covered by the points below shall be submitted to the exclusive jurisdiction of the courts of Cascais.

Sales to the final consumer: The provisions below in this point 13 apply exclusively to sales to the final consumer, as defined in Law no. 24/96, of July 31, as amended.

Loja Merece informs that, under the terms of the Consumer Protection Law, consumer disputes of low economic value [less than €5,000.00 (five thousand euros)] are subject to necessary arbitration or mediation, whenever, at the express option of the consumers, they are submitted to an arbitration tribunal attached to the legally authorized consumer dispute arbitration centers. Thus, in the event of a dispute, the final consumer may resort to any of these means, and must be represented by a lawyer or solicitor (or request legal aid, under the terms of the law).

Furthermore, under Regulation (EU) 524/2013 of the European Parliament and of the Council, the User can access the Online Dispute Resolution (ODR) Platform at https://webgate.ec.europa.eu/odr/main/index.cfm?event=main.home.chooseLanguage, where information is provided on the possibility of using it to resolve their disputes.

Also available on the Consumer Portal (consumidor.pt) is information on the Alternative Dispute Resolution bodies available to promote the out-of-court settlement of national and cross-border disputes under Law no. 144/2015 of September 8, as amended, when they are initiated by a consumer against a supplier of goods or services and concern contractual obligations resulting from contracts for the sale or provision of services concluded between an established supplier of goods or services and consumers resident in Portugal and the European Union.

YOU DECLARE THAT YOU HAVE READ AND UNDERSTOOD THESE GENERAL CONDITIONS AND THE POLICIES ASSOCIATED WITH THEM, AND THAT YOU HAVE HAD THE OPPORTUNITY TO SEEK INDEPENDENT LEGAL ADVICE BEFORE ACCEPTING THEM. YOU FURTHER ACKNOWLEDGE THAT THIS IS THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN YOU AND LOJA MERECE, WHICH SUPERSEDES ANY PREVIOUS PROPOSAL OR AGREEMENT, WRITTEN OR ORAL, AND ANY OTHER COMMUNICATION BETWEEN YOU AND LOJA MERECE RELATING TO THE SUBJECT MATTER OF THIS CONTRACT.
